Terms of Service

These Terms of Service (“Terms”) govern your access to and use of HeyAgents (the “Service”), operated by HeyAgents (“HeyAgents,” “we,” “us,” or “our”). By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to that organization.

1. The Service

HeyAgents provides an AI-powered platform for building and running autonomous agents that handle marketing, sales, support, and operations tasks. Features, plan limits, and pricing are described on our pricing page and may be updated from time to time.

2. Accounts

• You must provide accurate information and keep it up to date.
• You are responsible for safeguarding your credentials and for all activity under your account.
• You must be at least 16 years old (or the age of digital consent in your jurisdiction) to use the Service.

3. Subscriptions, Billing, and Refunds

• Paid plans renew automatically at the end of each billing period (monthly or annual) until cancelled.
• Fees are charged in advance and are non-refundable except where required by law.
• You may cancel at any time from the billing portal; cancellation takes effect at the end of the current period.
• We may change pricing with at least 30 days’ notice. Changes apply at your next renewal.
• Usage-based charges (e.g. messaging, additional seats) are billed in arrears.

4. Your Content and Data

You retain ownership of all content, instructions, brand assets, and data you submit to the Service (“Customer Data”). You grant HeyAgents a worldwide, non-exclusive license to host, copy, transmit, display, and process Customer Data solely to provide and improve the Service for you. We will not train our or third-party foundation models on your Customer Data.

5. Acceptable Use

You agree not to use the Service to:

• Violate any law or third-party right.
• Send spam, phishing, deceptive, harassing, or unlawful messages.
• Generate or distribute malware, sexual content involving minors, or content that incites violence.
• Reverse engineer, scrape, or attempt to extract source code or model weights, except as permitted by law.
• Circumvent rate limits, plan limits, security controls, or authentication.
• Resell or sublicense the Service without our written consent.

We may suspend or terminate accounts that violate these rules or create risk for the Service or other users.

6. AI Output Disclaimer

The Service uses generative AI to produce text, summaries, recommendations, and actions. Output may be inaccurate, incomplete, or unsuitable for your situation. You are responsible for reviewing, approving, and acting on agent output, and for any decisions, communications, or transactions that result. HeyAgents does not provide legal, financial, medical, or other professional advice.

7. Third-Party Services

The Service integrates with third-party platforms (e.g. Google, Meta, Stripe, Anthropic, OpenAI, Twilio). Your use of those services is governed by their own terms and privacy policies. We are not responsible for third-party services and their availability, content, or practices.

8. Intellectual Property

The Service, including all software, designs, trademarks, and documentation, is owned by HeyAgents or its licensors and is protected by intellectual-property laws. Except for the limited rights granted to you in these Terms, no rights are transferred. Feedback you provide may be used by us without restriction.

9. Confidentiality

Each party agrees to protect the other party’s confidential information with reasonable care and to use it only to perform under these Terms.

10. Warranties and Disclaimers

The Service is provided “AS IS” and “AS AVAILABLE.” To the maximum extent permitted by law, HeyAgents disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing or usage of trade. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that AI output will be accurate.

11. Limitation of Liability

To the maximum extent permitted by law, HeyAgents and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, even if advised of the possibility. Our total aggregate liability for any claim arising out of or relating to these Terms or the Service will not exceed the greater of (a) the fees you paid us in the 12 months preceding the claim or (b) US$100.

12. Indemnification

You agree to defend and indemnify HeyAgents from any claim, loss, or expense (including reasonable attorneys’ fees) arising from your Customer Data, your use of the Service, or your violation of these Terms or applicable law.

13. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms, fail to pay fees, or create risk for the Service. Upon termination, your right to use the Service ends. Sections that by their nature should survive termination will survive.

14. Changes to the Service or Terms

We may modify the Service or these Terms from time to time. Material changes will be announced in-product or by email at least 14 days before they take effect (or sooner if required for legal or security reasons). Continued use after the effective date constitutes acceptance.

15. Governing Law

These Terms are governed by the laws of the State of Delaware, USA, excluding its conflict-of-laws rules. Disputes will be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction there. Nothing here limits any mandatory consumer-protection rights you have under the laws of your country of residence.
